IMPORTANT LEGAL NOTICE
This is a legally binding agreement that affects your legal rights. By enrolling in GlowUp Academy training programs, you acknowledge that you have read, understood, and agree to be bound by this Indemnity Agreement. If you do not agree to these terms, you may not participate in our training programs. This agreement includes a waiver of certain legal rights, including the right to sue for certain claims. Please read it carefully and seek legal counsel if you have questions.
1. Parties and Scope
This Indemnity Agreement ("Agreement") is entered into between the undersigned participant ("Student," "You," or "Your") and GlowUp Academy, a training division operated by SuperSystems LLC ("Academy," "We," "Us," or "Our"). This Agreement applies to all training activities, including classroom instruction, hands-on practical training, supervised client work, use of equipment and facilities, and any related activities before, during, and after your enrollment period.
2. Acknowledgment of Risks
You acknowledge and understand that beauty and aesthetics training involves inherent and significant risks, including but not limited to:
- Physical Injury: Cuts, punctures, burns, bruises, or other injuries from equipment, tools, or procedures
- Chemical Exposure: Contact with cosmetic pigments, laser technology, adhesives, tints, or other chemical substances that may cause allergic reactions, skin irritation, or other adverse effects
- Infectious Disease: Exposure to bloodborne pathogens, bacteria, viruses, or other infectious agents despite sanitation protocols
- Allergic Reactions: Unexpected allergic responses to products, materials, or substances used during training
- Eye Injury: Potential eye damage from laser equipment, lash adhesives, or other materials
- Skin Reactions: Irritation, scarring, pigmentation changes, or other skin conditions from treatments practiced during training
- Equipment-Related Injuries: Burns, electrical shock, or other injuries from laser devices, sterilization equipment, or other machinery
- Model Client Injuries: Risks associated with providing services to practice models during supervised training
- Psychological Stress: Emotional or mental stress from intensive learning, performance assessments, or working with clients
- Repetitive Strain: Muscular or skeletal stress from prolonged periods of fine motor work
You acknowledge that these risks cannot be completely eliminated despite safety precautions, proper instruction, and adherence to protocols. You voluntarily assume all such risks and agree that your participation is entirely at your own risk.
3. Waiver and Release of Liability
To the fullest extent permitted by law, you hereby waive, release, discharge, and hold harmless GlowUp Academy, SuperSystems LLC, and their respective owners, officers, directors, employees, instructors, agents, contractors, affiliates, successors, and assigns (collectively, the "Released Parties") from any and all liability, claims, demands, actions, causes of action, damages, losses, costs, or expenses of any kind arising out of or relating to:
- Your enrollment, attendance, or participation in any training program or activity
- Any injury, illness, death, property damage, or other loss you may suffer
- The use of any equipment, tools, products, or facilities provided by the Academy
- The instruction, supervision, or guidance provided by Academy instructors or staff
- Any acts or omissions, whether negligent or otherwise, by the Released Parties
- Your practice of learned techniques on training models or practice clients
- Your exposure to other students, instructors, or model clients
- Any defect, malfunction, or failure of equipment or facilities
This release applies to all claims whether based on negligence, breach of contract, breach of warranty, strict liability, or any other legal theory, except for claims arising from our gross negligence or willful misconduct where such limitation is prohibited by law.
4. Indemnification
You agree to indemnify, defend, and hold harmless the Released Parties from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that arise from or relate to: (a) your violation of this Agreement or any applicable law or regulation; (b) your violation of any third-party rights, including any intellectual property, property, or privacy rights; (c) your use of Academy facilities, equipment, or materials; (d) any injury or damage you cause to any third party, including training models or other students; (e) your provision of beauty or aesthetics services to clients after certification; (f) any claims brought against the Academy by your clients, patients, or any third parties relating to your professional practice; and (g) any misrepresentation of your credentials, certifications, or affiliation with the Academy.
5. Post-Certification Professional Practice
You acknowledge and agree that:
- Upon certification, you are an independent professional responsible for your own business and professional practice
- The Academy provides training and certification only, and does not control, supervise, or assume liability for your professional practice after graduation
- You are solely responsible for obtaining any required licenses, permits, insurance, and regulatory compliance for your practice
- You are solely responsible for the safe and proper application of techniques learned during training
- You are solely liable for any injuries, damages, or claims arising from services you provide to clients after certification
- You will maintain adequate professional liability insurance coverage for your practice
- You will not hold the Academy liable for any claims, lawsuits, or damages arising from your professional practice
- You will indemnify the Academy against any claims brought by your clients or third parties relating to your services
6. Medical and Health Acknowledgments
You represent and warrant that:
- You are in good physical and mental health and capable of participating in intensive hands-on training
- You have disclosed all medical conditions, allergies, medications, or physical limitations that may affect your safe participation
- You understand the Academy may require medical clearance for participation if health concerns are identified
- You assume all risk of any injury or illness that may result from your participation, including exacerbation of pre-existing conditions
- You release the Academy from liability for any health complications you experience during or after training
- You will immediately notify instructors of any injury, illness, or adverse reaction occurring during training
- You understand the Academy does not provide medical advice and you are responsible for seeking appropriate medical care
7. Model Client and Third-Party Services
When providing services to training models or practice clients as part of your education, you acknowledge that you are responsible for obtaining proper consent, providing appropriate disclosures about your student status, following all safety protocols, and ensuring proper technique execution. You agree to indemnify the Academy for any claims brought by models or clients arising from services you provided during training. You understand that the Academy facilitates these learning opportunities but does not assume liability for your performance or the outcomes of services provided.
8. Insurance Requirements
You acknowledge that the Academy maintains insurance coverage for its operations, but this coverage does not extend to your personal injuries, property damage, or professional practice after graduation. You are strongly encouraged to maintain your own health insurance during training and are required to obtain professional liability insurance before providing services to paying clients after certification. Proof of insurance may be required for certain advanced training opportunities or alumni privileges.
9. Photographic and Video Release
You grant the Academy permission to photograph, video record, or otherwise document your participation in training for educational, portfolio, and marketing purposes. You waive any right to compensation for such use and release the Academy from any claims arising from the use of your image or likeness. If you wish to opt out of marketing use (but not educational documentation), you must provide written notice.
10. No Guarantees of Outcomes
You acknowledge that the Academy makes no guarantees regarding: (a) your ability to pass certification requirements; (b) employment opportunities after graduation; (c) income or earnings from your professional practice; (d) success of your business ventures; (e) client satisfaction or retention; (f) regulatory approval or licensing in your jurisdiction; or (g) any specific results from applying learned techniques. Your success depends on your skill, effort, business acumen, market conditions, and factors beyond the Academy's control.
11. Independent Contractor Status
You acknowledge that upon certification, you operate as an independent contractor or business owner, not as an employee, agent, or representative of GlowUp Academy or SuperSystems LLC. You may not represent yourself as affiliated with, endorsed by, or employed by the Academy without explicit written permission. You are solely responsible for your business operations, tax obligations, and regulatory compliance.
12. Third-Party Indemnification
You agree that if any third party (including but not limited to your clients, employees, business partners, or landlords) brings a claim against the Academy arising from or relating to your certification, professional practice, or any services you provided, you will immediately assume defense of such claim and indemnify the Academy for all costs, damages, and attorney fees incurred. This obligation survives termination of this Agreement and your completion of training.
13. Compliance and Regulatory Responsibility
You acknowledge that beauty and aesthetics services are regulated differently across jurisdictions. You are solely responsible for determining and complying with all applicable laws, regulations, licensing requirements, health codes, and professional standards in any location where you practice. The Academy provides training recognized in the industry but cannot guarantee that our certification alone satisfies all regulatory requirements in your jurisdiction. You release the Academy from any liability arising from your failure to obtain necessary licenses or comply with applicable regulations.
14. Duration and Survival
This Indemnity Agreement takes effect upon your enrollment and continues indefinitely. The waivers, releases, and indemnification provisions survive completion of your training, receipt of certification, and any termination of your relationship with the Academy. Your obligations under this Agreement remain in full force and effect throughout your professional career in the beauty and aesthetics industry.
15. Severability
If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, such provision shall be severed from this Agreement. The remaining provisions shall continue in full force and effect. The invalidity of any provision shall not affect the validity or enforceability of any other provision.
16. Entire Agreement and Modification
This Indemnity Agreement, together with the Terms of Service and any enrollment agreement you signed, constitutes the entire agreement between you and the Academy regarding the subject matter herein and supersedes all prior or contemporaneous understandings. This Agreement may only be modified by written amendment signed by both parties. Your enrollment and participation constitute your acceptance of this Agreement as written.
17. Voluntary Execution
You acknowledge that: (a) you have read this entire Agreement carefully and understand its contents; (b) you have had the opportunity to seek legal counsel before signing; (c) you are signing this Agreement voluntarily and without any duress or undue influence; (d) you understand that you are giving up substantial legal rights by signing this Agreement; (e) you have been given adequate time to review this document; and (f) your enrollment constitutes your electronic signature and acceptance of all terms.
18. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflicts of law principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the state or federal courts located in Wyoming, and you hereby consent to personal jurisdiction and venue in such courts. You waive any objection to jurisdiction or venue in such courts.

ACKNOWLEDGMENT OF UNDERSTANDING
By enrolling in GlowUp Academy, you acknowledge that you have read, understood, and agree to be bound by this Indemnity Agreement. You understand that this Agreement affects your legal rights and includes a waiver of certain claims. You accept full responsibility for the risks inherent in beauty and aesthetics training and your professional practice after certification. This Agreement is legally binding and enforceable.
